Terms of Service
These Terms of Service ("Terms") govern the use of the QUORUM Decision Infrastructure (the "Platform"), developed and operated by KB Analytical Solutions Inc. ("KB Analytical"). By accessing or using the Platform, you ("Institutional Operator") agree to be bound by these Terms.
1. Strategic Access & License
KB Analytical grants the Institutional Operator a non-exclusive, non-transferable license to access and utilize the Platform's decision orchestration features in accordance with the selected partnership tier (Integration, Growth, Institutional, or Sovereign). This license is for professional institutional use only.
2. Operational Responsibility
The Platform provides decisioning infrastructure and behavioral evidence. The Institutional Operator acknowledges and agrees that:
- The final determination of any adverse action (blocking, challenging, or flagging a transaction) remains the sole responsibility of the Institutional Operator.
- The Platform's logic is additive; it is designed to inform, not replace, the Operator's compliance and risk policies.
- KB Analytical is not responsible for any financial loss, regulatory fine, or reputational damage resulting from the Operator's use of Platform signals.
3. Intellectual Property & Anti-Reverse Engineering
The Platform's consensus models, behavioral heuristics, and "God Mode" orchestration logic are the exclusive intellectual property of KB Analytical. The Institutional Operator shall not:
- Attempt to decompile, reverse-engineer, or extract the underlying model weights of the Platform.
- Utilize Platform signals to train a competing decisioning or risk infrastructure.
- Bypass or attempt to bypass any security control or deployment perimeter defined by KB Analytical.
4. Service Level Commitments
Service Level Agreements (SLAs) regarding uptime, throughput (TPS), and incident response are defined by the specific Strategic Access Agreement executed between the parties. Integration-tier users are provided the service on an "as-is" basis with no guaranteed uptime.
5. Data Sovereignty & Integrity
In Sovereign deployments, the Institutional Operator is responsible for the maintenance and security of the hosting infrastructure. KB Analytical maintains no visibility into Sovereign perimeters except where explicitly authorized for technical maintenance or federated learning weight transfers.
6. Compliance with Financial Regulations
The Institutional Operator is responsible for ensuring that their use of the Platform complies with all local and international financial regulations, including but not limited to Anti-Money Laundering (AML) and Sanctions requirements.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein.
